If the service provider does not provide the contract, as a customer with a service contract, you can ensure that the terms of the service relationship are clear. At all times during the duration of the agreement, obtain and expect from the institutions and certify that each institution has obtained and maintains, on the sole costs and costs of the institution, as appropriate, 2.1 Carrier, herehesy accepts, the shipper, during the duration of the agreement, the logistics transport services and transport services indicated more fully in the following paragraphs of section 2 , as requested from time to time by the carrier. By putting their respective electronic signatures below, the contracting parties agree to conclude, apply and secure the entire transport service contract for the agreed duration. This part of the logistics contract describes under which law all future disputes will be settled and the place of the court that will be the place of all legal actions. 2.2 The carrier has the right to reallocate the required transportation services to other air carriers, provided that these carriers are reasonably acceptable to the shipper and qualified to perform the necessary transportation services. All subcontractors designated by the carrier are subject to the conditions set out in the carrier. Under no circumstances can the carrier be under contract with any of its transport logistics services, including its transport service provider services. Think carefully about the index used for the calculation. The index chosen must correspond as precisely as possible to the actual purpose of the contract.
Some elements of compensation are generally indexed separately, particularly the cost of fuel. If a separate fuel clause is included in the contract, make sure it works both ways, i.e. the purchaser is compensated for a decrease in fuel costs and the carrier has the right to apply an increase in fuel prices. In addition, avoid double indexation by ensuring that the price indexation clause does not also include fuel price indexation. Sometimes shippers want to trade the price index for continuous improvements. However, it is preferable to separate the continuous improvement from the indexation debate and include it in a separate clause. With respect to the indexation of the “market price”, transport services that have little or no consolidation synergies (such as truck loads, partial loads or container transport) vary considerably as needed. Since these services are almost entirely allocated to subcontractors, it is generally not possible to guarantee a fixed price for periods of more than one year and sometimes even less.
